Ren Tundermann, a former Assistant Attorney General and counsel to the Maryland Insurance Administration, leads our group with over 25 years of private practice experience. She is joined by Jim Taylor with over 25 years of litigation and regulatory experience; Don Davis with over 35 years of experience, including as general counsel to insurers, brokers, and administrators; and Brett Baulsir with 10 years of experience in all facets of our practice.

From the formation of insurance entities to licensure, form and rate approval, operational issues, examinations and investigations of all types, annual financial and holding company filings, investment issues, governance issues, administrative litigation, to the orderly wind down and run off of insurance entities: we cover it all. Examples include:
Transactions – We assist with third party and affiliate reinsurance agreements, mergers, acquisitions and reorganizations, and the sale and purchase of insurance agencies. We have extensive experience securing approval of Form A insurance company acquisitions and formations, Form D intercompany transactions, and the holding company system forms required by state law. We have handled Federal Home Loan Bank financings for life insurers as well as both large and small surplus note transactions for our clients. We’re proud to be engaged in significant insurance regulatory matters, often with large law firms from New York and Chicago.
Complaints & Regulatory Litigation – We have broad experience resolving enforcement actions and policyholder complaints, both at the investigation stage and in defending administrative proceedings. We take the lead on issues like the medical loss ratio litigation in Maryland and New York Insurance Department investigations involving international insurance placements.
Corporate Governance & Business Strategy – We provide counsel on various regulatory, business, and compliance matters, helping our clients strategize when there is no right answer. We also help with board matters, including training, using board committees, investment guidelines, and multi-state and international business planning.
