Lindsey A. Rader

Lindsey has over 35 years of experience as a public finance lawyer. She serves as bond counsel to municipalities and counties across the State of Maryland and other Maryland governmental entities. She also represents corporate trustees – or serves as issuer’s counsel – in various public finance transactions. Lindsey regularly represents borrowers in the Maryland Water Quality Financing Administration and Rural Development/Rural Utilities Service loan programs and the Maryland Community Development Administration’s Local Government Infrastructure Financing Program.

Lindsey’s public finance experience includes: current and advance refunding transactions; grant and bond anticipation note issues; public sales at competitive bid; negotiated underwritings; direct purchases; and credit-enhanced deals. Although her bond counsel practice focuses on general obligation offerings, she also serves as bond counsel for tax increment financing (TIF) and special taxing district bond issues and other types of revenue bond financings. As issuer’s counsel, Lindsey has been involved in a variety of revenue bond financings.

Lindsey has crafted legislation that was passed on state and local levels to establish revenue and redevelopment authorities, provide borrowing flexibility for Maryland local governments, and authorize innovative financings. She has prepared and assisted clients with the implementation of post-issuance tax compliance procedures and post-issuance continuing disclosure procedures. Lindsey has assisted clients with preparing and making continuing disclosure postings; reallocating bond proceeds; complying with the federal tax code’s change-in-use rules; and structuring management, operating, lease and other use agreements. Lindsey also provides counsel on discrete municipal law matters outside of her public finance practice.

Lindsey has spoken on panels before the Maryland Municipal League, the Maryland Association of Counties, other Maryland governmental-focused organizations, and National Association of Bond Lawyers conferences.
