Donald B. Davis, Jr. focuses on counseling insurers, insurance brokers, and insurance administrators on regulatory, transactional, governance and international business matters.
With over twenty-five years of experience providing legal advice on insurance matters, Mr. Davis’s background reflects a blend of corporate and private practice experience including positions as general counsel to National Interstate Corp. (Nasdaq: NATL), Meritain Health, Inc., and Performax, Inc., as well as group general counsel to The St. Paul Companies Global Specialty Underwriting segments, and group counsel to USF&G’s Claim Legal National Coverage Program. Mr. Davis also is a former partner to Saul Ewing, LLP where he was a member of the insurance and financial institutions practice group.
During his career, Mr. Davis has worked on insurance-related restructurings, mergers and acquisitions, reinsurance transactions, fronting arrangements, multi-state licensing projects, financial and market conduct examinations, insurance product development and approvals, and captive and self-insurance arrangements. Mr. Davis often provides counsel to insurers in financial matters involving reserve and surplus investments, financial reporting, and Holding Company Act compliance including affiliate transactions and corporate governance. Recently, Mr. Davis has been counseling insurers regarding expanding regulations for director oversight of enterprise risk management and corporate governance. Mr. Davis also has experience with insurance run-offs, including representing the Maryland Insurance Commissioner in the successful wind down of a workers’ compensation insurer in receivership, and assisting insurers overcome regulatory issues regarding impaired assets.
In keeping with the Firm’s tradition of providing creative and practical solutions, Mr. Davis is often called upon by general counsels for advice utilizing his in-house perspectives along with his experience with corporate governance, insurance regulation, and general business issues.
